Quotes and estimates are based on the information available when prepared. A quote may change if the project scope, requirements, content, integrations, schedule, technical conditions, or requested deliverables change. A proposal may expire on the date stated in the proposal or, if no expiration date is stated, after 30 days.
Client service agreements
Specific client projects may be governed by a separate proposal, statement of work, service agreement, subscription agreement, invoice, order form, maintenance plan, hosting agreement, or other written terms. Those project-specific terms control if they conflict with these website Terms.

- Reviewing deliverables, links, forms, pricing, content, and functionality before approval or launch

- Maintaining appropriate licenses, policies, disclosures, consents, and records
- Keeping secure copies of important business data, files, credentials, and content
Delays in client materials, approvals, access, or responses may delay delivery dates and may require rescheduling or additional charges under the applicable project agreement.
Content and legal compliance
Clients are responsible for the legality, accuracy, and ownership of the content, products, claims, offers, images, files, customer information, and business practices used on their websites. Webernator does not independently verify every client-provided statement, license, permission, or legal requirement.
Any legal, privacy, accessibility, tax, medical, financial, or regulatory information provided by Webernator is general information and is not legal, accounting, medical, financial, or other professional advice. Clients should consult qualified professionals regarding requirements that apply to their business.
Accessibility services
Accessibility work can improve usability and reduce barriers, but no automated tool, plugin, audit, or remediation service can guarantee complete or permanent compliance with every accessibility standard or law. Websites, content, software, third-party integrations, and legal requirements change over time.
Unless a written client agreement states otherwise, the client remains responsible for ongoing accessibility review, content practices, staff training, legal compliance, and corrections after delivery.
Search engines, traffic, and business results
Webernator may provide search optimization, performance improvements, advertising assistance, conversion guidance, or related services. We do not guarantee search rankings, traffic levels, leads, sales, revenue, advertising approval, platform availability, or any particular business result.
Results depend on many factors outside our control, including competition, market conditions, customer behavior, search engine changes, advertising platforms, client decisions, pricing, reputation, and third-party technology.
Hosting, domains, email, and third-party services
Websites may depend on third-party hosting, domain registration, email delivery, payment processing, analytics, security, content delivery, software, plugins, themes, integrations, artificial intelligence tools, and other services. Those services are governed by their own terms, policies, pricing, limits, and availability.
Webernator is not responsible for outages, suspensions, data loss, price changes, policy changes, security incidents, discontinued features, incompatibilities, account decisions, or other actions caused by third-party providers. We may recommend or configure third-party services, but the client may be required to maintain its own accounts, licenses, subscriptions, and payments.
Accounts, passwords, and security
If the website offers accounts or client portals, you are responsible for safeguarding your login credentials and all activity occurring through your account. You agree to provide accurate information, use strong and unique passwords, enable multi-factor authentication when available, and promptly notify Webernator of suspected unauthorized access.
We may reset credentials, restrict access, or suspend an account when reasonably necessary to protect security. We are not responsible for losses caused by your failure to protect credentials, secure your devices, control authorized users, or notify us of suspected compromise.
Payments
Payment terms for client work are established in the applicable proposal, invoice, subscription, or client agreement. Unless otherwise agreed in writing, amounts are stated in U.S. dollars.
You are responsible for providing accurate billing information and paying all charges when due. Late, failed, reversed, disputed, or incomplete payments may result in delayed work, suspension of services, withholding of deliverables, or termination as permitted by the applicable agreement and law.
Fees paid to third parties, including domain registrars, hosting providers, software vendors, payment processors, advertising platforms, stock media providers, and licensing services, may be nonrefundable and may remain the client’s responsibility.
Cancellations and refunds
Cancellation and refund rights depend on the service purchased and the applicable proposal, invoice, subscription, or client agreement. Unless otherwise stated in writing, payments for completed work, reserved project time, consultations, digital services, custom work, third-party purchases, domains, hosting, software licenses, and expenses already incurred are nonrefundable to the extent permitted by law.
This section does not limit any nonwaivable right available under applicable law.
Intellectual property
The website and its original content, branding, graphics, layout, text, code, designs, logos, and other materials are owned by Webernator or used with permission and are protected by intellectual property laws. Except as expressly permitted, you may not copy, reproduce, modify, distribute, publish, sell, license, create derivative works from, or commercially exploit website materials without written permission.
Ownership and licensing of client project deliverables are governed by the applicable client agreement. Unless that agreement states otherwise, Webernator retains ownership of preexisting materials, reusable tools, processes, templates, frameworks, methods, know-how, and third-party materials.
Portfolio and attribution
Unless prohibited by a written client agreement, Webernator may identify completed public-facing work in its portfolio, marketing materials, proposals, case studies, social media, or professional profiles. We will not intentionally disclose confidential client information for promotional purposes.
User submissions
If you submit comments, reviews, testimonials, suggestions, feedback, images, files, or other material through the website, you represent that you have the right to submit it and that it does not violate law or another person’s rights.
You retain ownership of your original material. However, by submitting material for public display or promotional use, you grant Webernator a nonexclusive, worldwide, royalty-free license to host, reproduce, format, display, and distribute it for the purpose for which it was submitted. You may contact us to request removal, although removal may not always be possible from backups, completed publications, or third-party platforms.

Liability relating to a paid client project is governed by the applicable client agreement. Some jurisdictions do not allow certain warranty exclusions or liability limitations, so some provisions may not apply to you.
Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Webernator and its owners, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, judgments, costs, and reasonable legal fees arising from your unlawful use of the website, your violation of these Terms, your submissions, or your infringement of another person’s rights.
Suspension and termination
We may suspend or terminate website access or an account if you violate these Terms, fail to make required payments, create a security or legal risk, misuse services, or engage in conduct that may harm Webernator, a client, a user, or a third party.
